Paramount, which is pursuing its own $108.7 billion all-cash bid for WBD, argues its offer is superior and seeks information to help shareholders evaluate both proposals. Concurrently, Paramount plans to nominate its own directors to WBD's board and propose bylaw amendments requiring shareholder approval for separating WBD's cable TV business, a key component of the Netflix agreement.
